Acceptance of Terms
By accessing or using the SpatialGig platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.
These Terms constitute a legally binding agreement between you and SpatialGig ("Company," "we," "us," or "our"). Your continued use of the Platform after any modifications to these Terms constitutes acceptance of those changes.
Definitions
Throughout these Terms, the following definitions apply:
- Platform — The SpatialGig website, applications, and all related services.
- Client — A user who hires or engages a Provider for music services, or purchases stem packs.
- Provider — A user who offers music services (session musicians, producers, mix engineers, vocalists) or sells stem packs on the Platform.
- Booking — A formal engagement between a Client and Provider for music services, including agreed scope, deliverables, and payment.
- Stem Pack — A digital product consisting of individual audio stems (tracks) uploaded by a Provider for sale.
- Content — Any text, images, audio files, reviews, messages, or other materials uploaded, posted, or transmitted through the Platform.
User Accounts
Registration
To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. SpatialGig will not be liable for any loss arising from unauthorized use of your account.
Eligibility
You must be at least 18 years of age to use the Platform. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
Service Marketplace
Provider Listings
Providers may create profile listings describing their skills, experience, rates, and availability. All information in listings must be accurate, truthful, and not misleading. SpatialGig reserves the right to remove listings that violate these Terms.
Booking Process
Clients may browse Provider profiles and initiate bookings through the Platform's messaging system. A booking is established when both the Client and Provider agree to the scope, deliverables, timeline, and payment terms. All bookings are facilitated through the Platform.
Delivery and Acceptance
Providers must deliver work within the agreed timeline. Clients may accept or request revisions as specified in the booking agreement. Upon acceptance of delivery, the booking is marked complete and payment is released to the Provider.
Stems Marketplace
Uploading Stems
Providers may upload stem packs for sale on the Platform. By uploading, you represent and warrant that you own all rights to the audio content or have obtained all necessary licenses and permissions. You retain ownership of your stems; however, you grant SpatialGig a non-exclusive license to display, distribute, and promote your stem packs on the Platform.
Purchasing Stems
Clients may purchase stem packs through the Platform. Upon successful payment, Clients receive a license to use the purchased stems in their projects. The specific license terms (e.g., commercial use, attribution requirements) are defined by the Provider at the time of upload.
Download Access
Purchased stems are made available for download via secure, time-limited links. SpatialGig does not guarantee indefinite access to downloads. We recommend that Clients download and back up their purchases promptly.
Payments & Fees
Payment Processing
All payments on the Platform are processed through Paystack, our third-party payment processor. By using the Platform, you agree to Paystack's terms of service. SpatialGig does not store credit card or bank account details directly.
Platform Commission
SpatialGig charges a commission on completed bookings and stem pack sales. The current commission rate is disclosed on the Platform and may be updated from time to time with reasonable notice. Commission is deducted before payout to Providers.
Currency
All transactions on the Platform are denominated in Ghana Cedi (GHS) unless otherwise specified. Additional currencies may be supported as the Platform grows. Providers receive payouts in their local currency as supported by Paystack.
Payouts
Provider earnings are accumulated in their Platform wallet and are paid out according to the payout schedule defined on the Platform. SpatialGig is not responsible for delays caused by payment processors or banking institutions.
User Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- Post or transmit Content that is defamatory, obscene, fraudulent, or infringing on any third party's intellectual property rights.
- Impersonate any person or entity, or falsely state or misrepresent your identity or affiliation.
- Interfere with or disrupt the Platform's infrastructure, servers, or networks.
- Attempt to circumvent the Platform's payment system or conduct transactions outside of the Platform for services discovered through SpatialGig.
- Harass, threaten, or intimidate other users through the Platform's messaging system.
- Upload malicious software, viruses, or any code designed to disrupt or damage the Platform.
- Scrape, crawl, or use automated means to access the Platform without our prior written consent.
Intellectual Property
Platform IP
The SpatialGig name, logo, design, and all associated trademarks, service marks, and trade dress are the property of SpatialGig. You may not use our intellectual property without prior written consent.
User Content
You retain ownership of Content you submit to the Platform. By posting Content, you grant SpatialGig a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such Content solely in connection with operating and promoting the Platform.
Copyright Infringement
SpatialGig respects intellectual property rights. If you believe that your copyrighted work has been infringed on the Platform, please contact us with the details of the alleged infringement. We will investigate and take appropriate action, including removing infringing content.
Disputes & Resolution
Between Users
SpatialGig provides tools for resolving disputes between Clients and Providers, including the ability to raise disputes on active bookings. While we facilitate dispute resolution, we are not obligated to mediate or resolve disputes between users.
With SpatialGig
Any dispute arising from these Terms or your use of the Platform shall first be addressed through informal negotiation. If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the Ghana Arbitration Centre.
Limitation of Liability
To the maximum extent permitted by applicable law, SpatialGig shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:
- Your use of or inability to use the Platform.
- Any conduct or Content of any third party on the Platform.
- Unauthorized access to or alteration of your transmissions or data.
- The quality, accuracy, or reliability of any services provided by Providers.
SpatialGig acts as a marketplace connecting Clients and Providers. We do not guarantee the quality, safety, or legality of services offered on the Platform.
Termination
SpatialGig may suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent activity, failure to pay fees, or conduct harmful to other users or the Platform.
Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.
Changes to Terms
SpatialGig reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform following the posting of changes constitutes your acceptance of such changes.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles.
